The agreement governing your use of VaseSign.

Who you are contracting with

These terms are between you and Vase Digital Trust (PTY) Ltd.

What VaseSign is

VaseSign is a platform for preparing, sending, signing, verifying and evidencing documents. We provide the technology and the evidence record.

We are not a law firm and we do not provide legal advice. Whether a particular signature is valid, sufficient or appropriate for a particular document is a legal question for you and your advisors.

Electronic signatures and their legal effect

The Electronic Communications and Transactions Act 25 of 2002 recognises electronic signatures, and distinguishes an ordinary electronic signature from an advanced electronic signature (AES) produced by an accredited provider.

VaseSign produces ordinary electronic signatures with supporting evidence. Where a document requires an AES by law, an ordinary electronic signature will not satisfy that requirement.

The platform identifies document types your legal advice has flagged as requiring an AES and records when one is sent without it. You remain responsible for deciding which of your documents require an AES.

Your account

You are responsible for the security of your credentials and for activity under your account. Tell us immediately if you believe your account has been compromised.

You must be legally capable of entering into a binding contract, and must not use the platform if you are barred from doing so.

Your content

You keep all rights in the documents you upload. We claim no ownership.

You grant us the licence necessary to host, process, transmit, render and evidence your documents in order to provide the service — no wider than that.

You are responsible for having the right to upload each document and to send it to the recipients you choose.

Availability

We aim for high availability but do not promise uninterrupted service, and we do not offer an uptime guarantee on standard plans.

Planned maintenance is announced in advance where practical. Some third-party dependencies — identity verification, timestamping authorities, email delivery — can be unavailable independently of us.

Fees

Subscription and usage fees are charged as set out in your plan and in the price shown when a chargeable action is taken. Prices include or exclude VAT as stated at the point of sale; invoices show VAT separately.

We may change prices with reasonable notice. A price change applies from your next billing period, never retroactively to a period already invoiced.

Non-payment may result in suspension. We will not delete your signed documents or evidence for non-payment without giving you a reasonable opportunity to export them.

Limitation of liability

Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, our total liability arising from the service in any twelve-month period is limited to the fees you paid us in that period.

We are not liable for indirect or consequential loss, loss of profit, or loss arising from your decision to rely on an electronic signature for a document requiring a different form.

Termination

You may close your account at any time. We may suspend or terminate for material breach, unlawful use, or non-payment after notice.

On termination you may export your documents and evidence for 30 days. After that we delete or anonymise what we are not legally required to retain.

Governing law

These terms are governed by the law of the Republic of South Africa, and the South African courts have jurisdiction.
